Terms of Service
Our core principle: "You own it. We maintain it."
Unlike closed platforms that lock businesses into ever-rising license fees, LABONNI designs and builds software for your business and hands ownership over to you. Your database, source code and domain remain fully under our client's control.
1. Parties and Scope
These Terms of Service are entered into between LABONNI LLC ("LABONNI"), a company organized under the laws of the State of Delaware, United States, and any individual or legal entity ("Client") that visits the website (labonni.com) or receives software, e-commerce, website, B2B ordering or automation services from LABONNI.
2. Services and Ownership
- Custom software and web projects: For systems designed and built specifically for the Client, the rights to the source code, deployment files and database transfer to the Client upon payment in full of the project fee. The Client may move the software to its own servers.
- Monthly care and support plan: The Client may choose LABONNI's monthly care service for hosting, backups, security updates and minor revisions. The care plan can be cancelled at any time; on cancellation, ownership of the software stays with the Client.
- Ready-made products and modules: LABONNI's proprietary modular solutions, such as Bayibox and MoleSeek, are offered under the applicable service model (one-time license or SaaS subscription).
3. Payment and Billing
Fees are charged according to the terms set out in the scope proposal. Payments are accepted through Stripe, which meets international security standards, or by bank transfer. Invoices are issued by LABONNI LLC in accordance with US regulations.
4. Client Obligations and Data Ownership
The Client warrants that it is the lawful owner of, or holds the necessary rights to, all content, product images, business records and customer data uploaded to the system. LABONNI claims no ownership of the Client's business data.
5. Limitation of Liability
To the maximum extent permitted by applicable law, LABONNI's total liability for any claim shall not exceed the total amount paid by the Client to LABONNI for the relevant service. LABONNI is not directly liable for outages caused by third-party infrastructure providers (such as Cloudflare, AWS or internet service providers).
6. Governing Law and Jurisdiction
These Terms and any disputes arising from them are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The parties accept the exclusive jurisdiction of the courts of the State of Delaware.
